Welcome to NexGen CRM & AI LLC (“NexGen”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your use of our customer relationship management and artificial intelligence services, software, and websites (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Company Information
NexGen CRM & AI LLC is a limited liability company registered in the state of Delaware and operates nationwide.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.
3. Account Registration
To access certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information and to keep this information up to date.
You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account.
4. Subscription and Fees
Access to our Services may require the purchase of a subscription or the payment of fees. All payments must be made in accordance with the pricing and payment terms presented to you.
We reserve the right to change our pricing and subscription plans at any time with prior notice.
5. License and Use
NexGen grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services in accordance with these Terms.
You may not:
Reverse engineer, decompile, or disassemble the Services;
Modify or create derivative works based on the Services;
Use the Services for any illegal or unauthorized purpose.
6. User Content
You retain ownership of all data, content, and information you submit through the Services (“User Content”). You grant NexGen a limited license to use, copy, and process your User Content solely to provide the Services to you.
You are responsible for ensuring your User Content complies with all applicable laws and regulations.
7. Data Privacy
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and safeguard your information.
8. Service Availability
We strive to provide uninterrupted access to the Services. However, we do not guarantee 100% uptime or that the Services will be error-free. Scheduled maintenance and unforeseen outages may occur.
9. Termination
We may suspend or terminate your access to the Services at any time, without notice or liability, for any reason, including if you violate these Terms.
You may cancel your account at any time. Upon termination, your access will be revoked, and we may delete your data, except where retention is required by law.
10. Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE.” NexGen disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, NexGen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or use.
Our total liability shall not exceed the total amount paid by you to NexGen for the Services in the six (6) months prior to the event giving rise to the claim.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13. Dispute Resolution
Any disputes will be resolved through binding arbitration in the State of Delaware, unless otherwise agreed upon in writing.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of any material changes. Continued use of the Services after changes become effective constitutes your acceptance of the new Terms.
